1. NAME
The Association shall be called the Wessex Basketball Association, hereinafter referred to as 'The Association'.
2. OBJECTIVES
• To promote and encourage the game of Basketball.
• To approve and promote competitions within the Area.
• To act as the controlling body in the County of Berkshire and the districts of Basingstoke, Hart and Rushmoor in the County of Hampshire, on behalf of England Basketball (EB).
• To run a league competition for men and women. This league shall be known as the Wessex Basketball League.
3. MEMBERSHIP Any League, Association or Club located within the geographical boundaries as indicated above, shall be eligible for affiliation, provided that it complies with the rules and regulations of England Basketball.
Any person who is a member of an affiliated club shall be eligible for membership of the Association, provided that he complies with the rules and regulations of England Basketball.
4. OFFICERS The Honorary Officers of the Association shall be: President, Vice-Presidents, Chairman, Vice-Chairman, Secretary, Treasurer, Registrar, Technical Secretary, Development Officer and Wessex League Chairman.
5. EXECUTIVE COMMITTEE The affairs of the Association shall be managed by the Officers (with the exception of the Vice-Presidents) and other members of the Executive Committee.
The Executive Committee shall consist of the Officers and one representative from each recognised League or Association.
In addition, the Executive Committee may co-opt any other members whose services may be considered to be of value to the Association.
The Sports Council Southern Region shall be invited to nominate one of their members to attend the Executive Committee meetings, but without power to vote.
The affiliated Schools Basketball Association(s) in the area shall be invited to nominate one member each to attend Executive Committee meetings.
A liaison officer to represent Disabled Basketball should be invited to attend Executive Committee meetings.
The Committee shall have the power to fill vacancies in its membership.
The Executive Committee shall have the power to appoint sub-committees from its own members or other persons as it sees fit.
The Officers of the Executive Committee shall be elected at the AGM and serve for a period of one year.
6. WESSEX BASKETBALL LEAGUE The affairs of the Wessex League shall be managed by the Executive Committee of the Wessex League.
The Executive Committee of the Wessex League shall consist of League Chairman, League Secretary, Open Divisions Secretary, Women's Divisions Secretary, Officials Secretary, Competition Secretary, the League Webmaster and the Area Association Treasurer, Registrar. The Officers of the Executive Committee shall be elected at the AGM and serve for a period of one year.
The Executive Committee of the Area Association shall have the power to fill vacancies in the membership of the League Committee.
An annual review of the Wessex Basketball League shall be included in the Annual General Meeting of the Wessex Basketball Association.
The Wessex Basketball League shall be run according to the Wessex Basketball League Regulations.
7. FINANCE The financial year of the Association shall end on 31st May, and a statement of accounts, up to and including this date, shall be presented at the Annual General Meeting, and at other times at the request of the Executive Committee.
The funds of the Association shall be deposited in a recognised bank and all cheques drawn on the account shall be signed by the treasurer on behalf of the Executive Committee, Transactions must be authorised by the executive committee via minutes and invoices.
In the event of the Association disbanding, all funds and assets shall become the property of EB.
8. ANNUAL GENERAL MEETING
• The Annual General Meeting shall be held by 31 July.
• The Annual Report of the Executive Committee and a statement of accounts shall be presented.
• At least twenty-one days' notice specifying the place, date and hour, together with the Agenda shall be given to all affiliated Clubs, Leagues and Associations, who shall inform their members.
• Each affiliated League, Association (or Associate member) and Club, and each Honorary Officer shall be entitled to one vote at the Annual General Meeting.
• All matters shall be decided by ballot or by show of hands (at the discretion of the Chairman) of those members present and qualified to vote.
• A majority in excess of opposition of one third of the vote cast shall be necessary to carry any resolution in respect of the Constitution of the Association. Other resolutions shall be decided by a simple majority, and in the event of a tie, the Chairman shall have a second or casting vote.
• No person may vote in more than one capacity.
9. EXTRAORDINARY GENERAL MEETING An Extraordinary General Meeting of the Association shall be convened on the resolution of the Executive Committee or within one month of receipt by the Honorary General Secretary of a resolution signed by the Secretaries of at least six affiliated clubs.
At least fourteen days' notice of the place, date, hour and business of the meeting shall be given to Club, League and Association Secretaries, who shall inform their members.
Procedure shall be as at the Annual General Meeting (see item 8).
10. CONSTITUTION AND LEAGUE REGULATIONS No amendment to the Constitution and League Regulations shall be effected, unless at an Annual or Extraordinary General Meeting.
Any proposed amendments to the Constitution and League Regulations shall be submitted to the Honorary Secretary by 1 April, or in the case of an Extraordinary General Meeting, with the resolution requesting the meeting.
In the event of any question or matter arising, which is not provided for in the Constitution and League Regulations, such matters shall be dealt with by the Executive Committee.
11. DISCIPLINE The Association shall be responsible for the conduct of players and officials and it may delegate this responsibility to member Leagues and Associations as it sees fit.
12. GENERAL Notwithstanding anything contained above, the jurisdiction of the Association shall be as laid down by England Basketball. The decision of the National Executive Committee of England Basketball shall always be binding, and may set aside this Constitution.
In the event of a resolution being passed at a General Meeting of England Basketball to disband or amend the boundaries of this Area Association, the decision shall have immediate effect.
